A realisation for the estate, completed before dissolution.
Workspaces are usually deleted once subscriptions lapse. KetData pays the estate a fixed price for a licence to the company's records, with nothing to manage.
At a glance
- Counterparty
- KetData only. No AI developer contacts the estate, staff or customers.
- Price
- One fixed price, agreed in writing before signing.
- Cost to the estate
- Nothing. Extraction and de-identification are not deducted from the price.
- Timetable
- Usually four to eight weeks, always before dissolution.
- Payment
- From the AI developer's payment, through a holding account, within an agreed number of days of the funds clearing.
- Long-stop
- If the licence has not completed by the long-stop date in the agreement, set before planned dissolution, the agreement falls away.
How it works
First call and checklist
Is the workspace live, who can sign, is there a secured lender? You send counts and admin screenshots only.
Guide price and heads of terms
An indicative range, then heads of terms or a short exclusive option.
Sign and extract
The licence is signed. Our specialist de-identification partner extracts once, read-only, and removes identifying details.
Estate paid
Paid from the holding account as soon as the AI developer's funds clear.
What you do
- Confirm your authority and who must consent
- Send the checklist (counts and screenshots)
- Keep subscriptions live until extraction ends
- Grant read-only access, or provide exports
What you don't do
- Package, clean or upload data
- Deal with AI developers
- Give warranties beyond your authority; the licence is as is, with no personal liability
- Pay any fee
Questions
When is the estate paid?
When the licence completes, from a holding account, within an agreed number of days of the AI developer's funds clearing, and in any case before the long-stop date.
What if no sale completes in time?
The agreement falls away at the long-stop date. The estate has paid nothing.
Does a secured lender need to agree?
Sometimes. We check who must consent before anything is signed.
What is excluded?
HR files, client-owned material, privileged material, health, payment and national ID data, children's data, biometric data, export-controlled data, passwords and secrets.
Legal notes: the licence is granted by the company acting by its office-holders, without personal liability. The licence survives dissolution. The estate may keep copies for wind-down and legal purposes. This page is not legal advice.
